1. Introduction

Welcome to VidsDub (referred to as “VidsDub,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website located at www.vidsdub.com (the “Site”) and any related services, features, or content offered by VidsDub (collectively, the “Services”). By accessing or using our Site and Services, you (“User,” “you,” or “your”) agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not access or use our Site or Services.

VidsDub reserves the right to modify these Terms at any time, with or without prior notice. Any such modifications will be effective immediately upon posting on the Site. It is your responsibility to review these Terms periodically to stay informed of any changes. Continued use of the Site or Services after any modifications have been posted constitutes your acceptance of the updated Terms.

2. Definitions

For the purposes of these Terms, the following terms shall have the meanings set forth below:

  • “Account” refers to the user account created by you to access our Services.
  • “Content” means any information, text, graphics, photos, video, audio, or other material uploaded, downloaded, or appearing on the Services.
  • “Subscription” refers to the recurring payment plan selected by you to access premium features of the Services.
  • “User” means any individual or entity that accesses or uses the Services.
  • “Service” or “Services” refers to all services provided by VidsDub, including but not limited to voice cloning, video dubbing, and translation services.

The interpretation of these Terms shall not be affected by any definitions contained herein, and all terms are to be construed in a manner consistent with the context in which they are used.

3. User Eligibility

To use the Services, you must meet the following eligibility criteria:

  • Minimum Age: You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Services. By using the Services, you represent and warrant that you meet this age requirement.
  • Legal Capacity: You must have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not meet the eligibility criteria, you must not access or use the Services. VidsDub reserves the right to refuse access to the Services to any User who does not meet these eligibility requirements.

4. Account Registration

To access certain features of our Services, you may be required to create an account with VidsDub. When creating an account, you agree to provide accurate, current, and complete information as prompted by the registration process. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.

  • Account Security: You must notify VidsDub immediately of any unauthorized use of your account or any other breach of security. VidsDub will not be liable for any loss or damage arising from your failure to protect your account credentials.
  • Account Termination: VidsDub reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to your breach of these Terms.

By creating an account, you consent to receive electronic communications from VidsDub, including but not limited to notifications related to your account and promotional messages. You may opt out of promotional communications at any time by following the instructions provided in the communication.

5. Pricing and Subscription

VidsDub provides a variety of subscription plans that grant access to distinct features and services. The specific details and pricing for each subscription plan are available on our Site and may be modified at our discretion.

  • Subscription Plans: By selecting a subscription plan, you agree to pay the corresponding fees, which will be charged on a recurring basis according to the terms of your chosen plan. All subscription fees are non-refundable, except as explicitly stated in these Terms or as required by applicable law.
  • Auto-Renewal: Your subscription will automatically renew at the conclusion of each billing cycle unless you choose to cancel it before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us at contact@vidsdub.com. The cancellation will become effective at the end of the current billing cycle, and you will retain access to the Services until that time.
  • Cancellation and Refunds: Upon cancellation, your access to the Services will continue until the end of the current billing period. No refunds will be provided for any portion of the fees already paid, although VidsDub reserves the right to issue refunds or credits at its sole discretion.
  • Billing Disputes: Any disputes regarding billing must be reported within 30 days of the charge. Failure to do so within this period will result in a waiver of your right to contest the charge.
  • Video Limits: The maximum video duration for content processed through our Services is 45 minutes, with a maximum file size of 100MB.

6. Service Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct while using the Services and must ensure that your use complies with all applicable laws and regulations.

  • Permitted Use: You may use the Services to create and modify content, including but not limited to voice cloning and video dubbing, for personal or commercial purposes, provided that such use does not violate any third-party rights or applicable laws.
  • Prohibited Use: You must not use the Services to create, upload, or distribute any content that is illegal, offensive, defamatory, or otherwise harmful. This includes, but is not limited to, the creation of deepfakes, unauthorized impersonation of individuals, and the dissemination of misleading or false information.
  • User Conduct: You must not engage in any activity that could disrupt, damage, or interfere with the functioning of the Services, including but not limited to hacking, reverse engineering, or introducing malicious software. You are also prohibited from using the Services to harass, threaten, or harm others.

VidsDub reserves the right to take appropriate action within the platform against anyone who violates these Terms. However, VidsDub does not assume responsibility for monitoring or policing user behavior beyond the platform. Once content is downloaded and shared externally, compliance with applicable laws becomes the sole responsibility of the user. VidsDub disclaims all liability for any legal issues that may arise after the content has been downloaded and shared on external platforms.

7. Ethical Use of Technology

VidsDub encourages ethical use of its technology and expects Users to adhere to these standards while using the Services. However, VidsDub does not monitor the specific ways in which the Services are used once content has been downloaded. Users are expected to obtain all necessary consents and abide by applicable laws when using or sharing content externally:

  • Consent Requirements: You must obtain explicit, informed consent from any individual whose voice or likeness you intend to clone or use through the Services. This includes ensuring that all parties are aware of and agree to the potential uses of the cloned voice or likeness.
  • Misuse of Technology: You are prohibited from using the Services to create content that is intended to deceive, defame, or otherwise harm others. This includes, but is not limited to, the creation of deepfakes or any content that could be used for fraudulent purposes.
  • Reporting Violations: If you become aware of any misuse of the Services or violations of these Terms, you are encouraged to report such activities to VidsDub immediately at contact@vidsdub.com. VidsDub will take appropriate action, which may include suspending or terminating the offending account and cooperating with legal authorities.
  • Misuse of Technology: Users must not use VidsDub for creating deepfakes or misleading content. Such misuse can harm reputations or spread misinformation

VidsDub reserves the right to monitor the use of its Services to ensure compliance with these ethical guidelines and to take any necessary action to prevent misuse.

8. User-Generated Content

VidsDub allows Users to create and upload content through the Services. The following terms apply to user-generated content:

  • Ownership of Content: You retain full ownership of any content you create or upload. VidsDub does not claim any ownership rights over your content.
  • Security and Access: All content uploaded to VidsDub is stored securely and is not accessible by the public or other users unless explicitly shared by you. You have the ability to delete any of your content from our Services at any time. Upon deletion, the content is permanently removed from our databases and is no longer accessible.
  • No License to VidsDub: VidsDub does not require a license to use, reproduce, or modify your content as it is solely under your control and not utilized by VidsDub for any purposes other than those necessary to maintain the Services as requested by you.

9. Intellectual Property

VidsDub respects intellectual property rights and expects its Users to do the same. All content, software, and materials provided by VidsDub are protected by intellectual property laws, and their use is subject to the following conditions:

  • VidsDub IP: VidsDub retains all rights, title, and interest in and to the Services, including but not limited to software, algorithms, design elements, text, graphics, and all other intellectual property related to the Services. You may not copy, modify, distribute, sell, or lease any part of our intellectual property unless expressly authorized in writing by VidsDub.
  • User IP: You retain ownership of any intellectual property you create through the use of our Services. However, you agree not to use VidsDub’s Services to infringe on the intellectual property rights of others. This includes not using the Services to create content that violates copyrights, trademarks, patents, trade secrets, or other proprietary rights.
  • Infringement Claims: If you believe that your intellectual property rights have been infringed by content available on VidsDub, you may submit a notice of infringement to our designated agent at contact@vidsdub.com. VidsDub will respond to valid claims by removing or disabling access to the infringing content and may terminate the accounts of repeat infringers.
  • AI: Users must ensure that AI-generated voices do not infringe on the rights of public figures or copyrighted material.

10. Privacy and Data Security

Your privacy and the security of your data are of utmost importance to VidsDub. We are committed to protecting your personal information and ensuring that it is handled in accordance with applicable data protection laws, including the GDPR and CCPA.

  • Data Collection: VidsDub collects and processes personal information as described in our Privacy Policy. By using our Services, you consent to the collection, use, and sharing of your personal information as outlined in the Privacy Policy.
  • User Rights: Depending on your jurisdiction, you may have certain rights regarding your personal information, such as the right to access, correct, delete, or restrict its use. You can exercise these rights by contacting us at contact@vidsdub.com.
  • Security Measures: VidsDub employs industry-standard security measures to protect your personal information from unauthorized access, disclosure, alteration, or destruction.   • User Responsibility: As a User, you are responsible for ensuring that your use of the Services complies with all applicable local, national, and international laws and regulations. This includes, but is not limited to, laws governing privacy, data protection, intellectual property, and content creation.
  • VidsDub Compliance: VidsDub is committed to complying with all relevant laws and regulations, including the GDPR, CCPA, and other applicable data protection regulations. We will cooperate with law enforcement authorities and other regulatory bodies as required by law.

12. Service Availability and Performance

VidsDub strives to provide reliable and consistent access to its Services. However, the availability and performance of the Services may be affected by factors beyond our control.

  • Uptime Guarantee: VidsDub aims to maintain high uptime levels for its Services. However, we do not guarantee that the Services will be available at all times or that access will be uninterrupted. Scheduled maintenance, updates, or unforeseen technical issues may result in temporary downtime.
  • Maintenance and Downtime: VidsDub reserves the right to perform routine maintenance or emergency repairs on the Services, which may result in temporary unavailability. We will make reasonable efforts to provide advance notice of any scheduled maintenance, but we are not obligated to do so.
  • Performance Issues: In the event of performance issues, such as slow loading times or server errors, VidsDub will take reasonable steps to address and resolve the issue. However, we are not liable for any delays or failures in the performance of the Services that are beyond our control.

13. Modifications to Service

VidsDub is continuously improving its Services and may need to modify, update, or discontinue certain features or functionalities from time to time.

  • Changes to Service: VidsDub reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This may include changes to existing features, the introduction of new features, or the discontinuation of certain functionalities.
  • User Notification: If any modifications significantly affect the way you use the Services, VidsDub will provide reasonable notice, either through the Site, via email, or other communication methods. Your continued use of the Services after any modifications constitutes your acceptance of the changes.

14. Termination and Suspension

VidsDub reserves the right to suspend or terminate your access to the Services at any time, for any reason, including but not limited to violations of these Terms or misuse of the Services.

  • Termination by VidsDub: VidsDub may terminate or suspend your account, with or without notice, if you violate these Terms, engage in illegal or unethical activities, or otherwise misuse the Services. Upon termination, your right to access and use the Services will immediately cease.
  • User Termination: You may terminate your account at any time by following the account termination procedures provided in your account settings or by contacting us at contact@vidsdub.com. Upon termination, you will lose access to any content or data associated with your account.
  • Effect of Termination: Upon termination of your account, VidsDub may delete any content or data associated with your account, including but not limited to personal information, user-generated content, and subscription details. VidsDub is not liable for any loss or damage resulting from such deletion.

15. Disclaimers

VidsDub provides its Services on an "as-is" and "as-available" basis. While we strive to ensure the accuracy, reliability, and functionality of our Services, we make no warranties or representations regarding the Services.

  • No Warranty: VidsDub expressly disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Services will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected.
  • Third-Party Content: The Services may include links to third-party websites, resources, or services that are not owned or controlled by VidsDub. VidsDub is not responsible for the content, accuracy, availability, or practices of these third-party sites. You acknowledge and agree that VidsDub shall not be liable for any damages or losses resulting from your use of or reliance on any third-party content or services.
  • Legal Advice: The information and services provided by VidsDub are not intended to constitute legal advice, and VidsDub does not guarantee the accuracy or completeness of any information provided. Users are encouraged to seek legal advice from qualified professionals if they have any legal concerns or questions.

16. Limitation of Liability

VidsDub’s liability is limited to the fullest extent permitted by law. By using the Services, you agree to the following limitations on VidsDub’s liability:

  • Exclusion of Damages: VidsDub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if VidsDub has been advised of the possibility of such damages.
  • Cap on Liability: In no event shall VidsDub’s total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the amount paid by you, if any, to VidsDub for the use of the Services in the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless VidsDub, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • User Conduct: Your access to or use of the Services, including any content you create, upload, or share.
  • Violation of Terms: Your violation of these Terms, any applicable law or regulation, or the rights of any third party.
  • Third-Party Claims: Any third-party claim that your use of the Services infringes on their intellectual property rights or otherwise violates their rights.

VidsDub reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with VidsDub in asserting any available defenses.

18. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration, subject to the following provisions:

  • Governing Law: These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of Australia where VidsDub is headquartered, without regard to its conflict of law principles.
  • Mediation and Arbitration: Before initiating any legal action, you agree to first attempt to resolve the dispute informally by contacting VidsDub at contact@vidsdub.com. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the Australian Arbitration Association or a similar arbitration body. The arbitration will be conducted in the English language and take place in the jurisdiction where VidsDub is headquartered.

19. Third-Party Services

VidsDub’s Services may integrate with or allow access to third-party services. By using these Services, you agree to the following terms related to third-party services:

  • Third-Party Integration: VidsDub may integrate with third-party services to enhance the functionality of its Services. These third-party services are governed by their own terms of service and privacy policies, which you must agree to when using such services.
  • Liability for Third-Party Services: VidsDub is not responsible for the availability, accuracy, or functionality of third-party services, nor for any content or services provided by third parties. The governing language of these Terms and all related documents is English. In the event of any discrepancy between the English version and a translated version, the English version shall prevail.

  • Official Language: These Terms are drafted in English and shall be interpreted in English. Any translations of these Terms are provided for convenience only, and the English version shall govern any disputes arising from these Terms.
  • Translation Disclaimer: VidsDub is not responsible for any inaccuracies or misinterpretations that may arise from translations of these Terms. Users are encouraged to seek clarification or professional translation services if they do not understand any part of the English version.

24. International Users

VidsDub’s Services are accessible worldwide, and by using the Services, you agree to comply with all local laws and regulations applicable to your use of the Services.

  • Cross-Border Data Transfers: By using the Services, you acknowledge and consent to the transfer of your personal information to countries outside your country of residence, including the United States, where data protection laws may differ from those in your country. VidsDub will take reasonable steps to ensure that your data is treated securely and in accordance with these Terms.

25. Force Majeure

VidsDub shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or other unforeseen circumstances.

If a force majeure event occurs, VidsDub’s obligations under these Terms will be suspended for the duration of the event. VidsDub will make reasonable efforts to resume performance as soon as possible after the force majeure event has ended.

26. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect.

  • Severability Clause: Each provision of these Terms is intended to be severable. If any provision is held to be invalid or unenforceable, the validity and enforceability of the remaining provisions shall not be affected.
  • Reformation: If any provision of these Terms is found to be unenforceable, VidsDub and the User agree that the court should modify the provision to the minimum extent necessary to make it enforceable, and that the provision should be enforced as modified.

27. Entire Agreement

These Terms constitute the entire agreement between you and VidsDub regarding your use of the Services.

These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, regarding the Services. No amendment or modification of these Terms will be binding unless made in writing and signed by an authorized representative of VidsDub.

Any previous agreements, understandings, or arrangements between you and VidsDub regarding the Services are hereby superseded by these Terms.
